I don't think it's an EITHER/OR proposition. The way I understand it, covenants are the legal leg the HOAs stand on. HOAs enforce the covenants. The OP said in his post there IS an HOA that has never met. Covenants can be modified and nullified. Talk to your neighbors and consider pooling...

Get a copy of the bylaws for your HOA and find out what it would take to change that! The bylaws may even contain provisions for dissolving the HOA. Don't let this guy use it to bully the neighborhood.
